Read before subscribing. Key Advisor Tools is operated by First Oregon LLC. These Subscriber Terms & Conditions govern access to the Key Advisor Tools platform and are supplemented by the separately published Privacy Policy. Any rights or disclosures required by applicable law continue to apply.

1. Subscription Pricing and Five-Year Price Protection

Current pricing for new subscriptions is $99 per month for Advisor Workstation, plus $49 per month for the optional CRM ($148 per month combined), excluding applicable taxes disclosed at checkout. The recurring price shown on the subscriber’s completed order for the modules included when the subscription begins is the subscriber’s protected subscription price.

Five-year price protection: First Oregon LLC will not increase that protected recurring subscription price for the subscribed modules during the five-year period beginning on the subscriber’s initial paid subscription start date, provided the subscription remains continuously active and in good standing. The five-year period is measured from that original subscription start date, not from a later renewal date.

This price protection is not a five-year commitment. A subscriber may cancel future renewals in accordance with Section 4. If a subscription is canceled, expires, or is terminated and the subscriber later re-enrolls, the then-current public price may apply and the prior price-protection period does not resume. If an optional module such as CRM is added after the original subscription start date, the then-current disclosed add-on price applies and, unless otherwise stated at the time of purchase, that add-on price is protected only through the end of the subscriber’s original five-year price-protection period. Applicable taxes may change, and separately priced future products, services, or optional modules are not included in the price protection unless expressly stated.

After the five-year price-protection period ends, First Oregon LLC may change renewal pricing upon the advance notice required by applicable law and these terms.

2. Services and Platform Changes

Key Advisor Tools is an evolving software platform. Tools, interfaces, workflows, integrations, data sources, and documentation may be updated, improved, replaced, or discontinued. Some features may be designated as beta or testing features and may experience interruptions or errors. The description of tools on the subscription page governs which modules are included in the subscriber’s selected package; future modules are not automatically included unless stated.

3. Monthly Billing and Automatic Renewal

The first monthly subscription charge is collected at purchase. Unless canceled before the next renewal, the subscription renews automatically each month at the protected recurring price during the applicable five-year price-protection period, plus applicable taxes. The renewal amount and billing date are displayed at checkout or in the subscriber’s billing account. The subscriber affirmatively authorizes recurring charges by accepting the recurring-billing terms during signup.

4. Cancellation and Refund Policy

The subscriber may cancel future renewals through the subscription-management method provided in the account or by contacting the published support channel. Cancellation stops future renewal charges and generally permits access through the already-paid monthly term, unless access ends sooner under a lawful termination provision. Amounts paid for an activated monthly term are generally nonrefundable and not prorated. Exceptions apply where required by law, or for unauthorized or duplicate charges or a failure to supply the purchased service where a remedy is legally required. Nothing in these terms waives statutory rights or payment-dispute rights.

5. Professional Responsibility

The platform provides software, workflow, reporting, and analytical tools. First Oregon LLC does not provide investment, tax, accounting, or legal advice through the software. Subscriber firms are responsible for reviewing data, calculations, illustrations, recommendations, client communications, licensing and supervision obligations, and applicable regulatory requirements before professional use.

6. Accounts, Data and Acceptable Use

Subscribers must provide accurate account information, safeguard credentials, and use the service lawfully. Do not submit confidential client records in general support or feedback channels unless the channel is specifically designated for secure record submission. Data handling is described in the separately published Privacy Policy.

7. Changes, Notices and Records

First Oregon LLC may update non-price service terms with appropriate notice, subject to applicable law. A general terms update does not eliminate the five-year protected subscription price for covered modules during the applicable price-protection period. We may record the agreement version, acceptance time, subscription start date, subscribed modules, protected price, and recurring-billing consent as part of the subscription audit record. These terms do not override applicable legal requirements for renewal notices, cancellation, refunds, privacy, or consent.

8. Acceptance

By accepting the Subscriber Terms & Conditions, authorizing recurring billing, and completing checkout, the subscriber accepts these terms. Keep a copy for your records.
